Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the givnTable platform operated by givnTable LLC, an Ohio limited liability company (“givnTable,” “we,” “us,” or “our”). These Terms form a binding agreement between you and givnTable. By creating an account, hosting an event, RSVPing, contributing, or otherwise using the platform (the “Platform”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

1. Who We Are and What givnTable Does

givnTable operates a technology platform that lets a host organize a dining event, invite guests, and select a 501(c)(3) nonprofit organization for that event, and that lets guests contribute to the host’s selected nonprofit.

givnTable is a for-profit technology company and payment facilitator. It is not a charity, does not solicit contributions in its own name, does not set or suggest contribution amounts, and does not take custody of contributed funds. Contributions flow directly to the nonprofit through our payment processor, as described in Section 5.

givnTable is not a party to, and is not responsible for, the relationship between a host and their guests or between a guest and the nonprofit. The event itself is organized and run by the host, not by givnTable.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. By using the Platform, you represent that you meet these requirements. If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Your Account

Some features require an account. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. You agree to provide accurate and current information and to keep it up to date. We may suspend or close an account as described in Section 17.

4. Nonprofit Listings and Verification

Hosts select the nonprofit for their event from organizations listed on the Platform. givnTable confirms each listed organization’s current 501(c)(3) tax-exempt status. givnTable does not evaluate, endorse, recommend, or guarantee any organization’s mission, cause, quality, effectiveness, or use of funds, and confirming an organization’s status is not an endorsement of it. givnTable is not responsible for how a nonprofit uses the funds it receives.

5. Contributions, Booking Fee, and Payment Processing

5.1 Contributions

When a guest contributes through the Platform, the contribution is a payment to the nonprofit the host selected for that event. The host sets the contribution amount for the event and may set it to zero. givnTable does not set, suggest, or control the contribution amount.

5.2 Payment processor; merchant of record

Payments are processed by Stripe. Each contribution is charged directly to the nonprofit’s connected Stripe account, on which the nonprofit is the merchant of record. Contributions do not pass through, and are never held in, any givnTable account. givnTable takes no custody of contributed funds.

5.3 Booking fee

givnTable charges a booking fee of $1.00 per seat, paid by the guest at checkout, for use of the Platform. For an RSVP that includes one or more additional attendees (a “plus-one”), the booking fee applies to each seat — for example, $2.00 for a guest plus one additional attendee. In addition, a host pays a $1.00 booking fee to givnTable when publishing an event (the host attends their own dinner). Each booking fee is givnTable’s fee for the Platform. It is not a contribution, is not paid to the nonprofit, and is not deducted from the amount the nonprofit receives.

5.4 Processing fees

As the merchant of record, the nonprofit bears standard payment-processing fees on the transaction, the same fees it would incur accepting a donation through its own website. Where the Platform offers a guest the option to cover processing fees and the guest elects it, the guest bears those fees.

5.5 Authorization

By submitting a payment, you authorize the charge for the contribution you selected (including any amount for additional attendees) and the applicable booking fee.

6. Refunds

Refunds are available only when a host cancels an event. In that case, each affected guest may choose to receive a full refund of the entire amount they paid — the contribution, any added donation, and the booking fee — to their original payment method, or to leave their contribution as a donation to the nonprofit. givnTable does not offer partial refunds, and individual guest cancellations or no-shows for events that still take place are not refundable.

7. Estimated Meal Value and Taxes

For an event that includes a meal, the host provides a good-faith estimate of the per-person value of the food and drink. That estimate is displayed for information only. It is the host’s estimate, not givnTable’s, and givnTable does not independently verify it.

givnTable does not provide tax, legal, or accounting advice, and does not issue tax receipts or charitable-contribution acknowledgments. Guest and donor confirmations are payment confirmations, not tax receipts. Any tax receipt or acknowledgment is issued by the nonprofit. Whether, and to what extent, a contribution is tax-deductible depends on the value the guest received and the guest’s own circumstances. Consult your own tax advisor, and the nonprofit, for documentation.

8. Hosts — Additional Responsibilities

If you host an event, you also agree that you will:

• Organize and run your own event, set the contribution amount, and provide the estimated meal value in good faith.
• Pay the $1.00 booking fee to givnTable when you publish your event, as described in Section 5.3.
• Not represent that you are acting on behalf of givnTable or as a professional fundraiser, and not make false or misleading statements about how contributions will be used.
• Disclose the beneficiary nonprofit to your guests.
• Understand that you receive no compensation from givnTable, the nonprofit, or your guests for hosting. Any host expense-reimbursement feature that givnTable may offer is subject to its own separate disclosures at the time you use it.
• Be responsible for your own conduct at the event and for complying with all laws applicable to it.

9. Guests

When you RSVP and pay, your contribution goes to the nonprofit the host selected, and you pay the applicable booking fee. Attending an event may provide you with something of value, such as a meal, which can affect whether and how much of your contribution is tax-deductible, as described in Section 7. givnTable is not responsible for the event, the meal, or any host’s conduct.

10. Community Features

The Platform may offer community features such as hearts, badges, leaderboards, and a quarterly pledge fund. Hearts and votes have no monetary value, are not your property, and cannot be bought, sold, transferred, or redeemed for cash. We may modify, suspend, or discontinue any community feature at any time. Any pledge-fund distribution is discretionary and variable, is determined as described on the Platform, and is not a guaranteed payment to any participant or organization.

11. Acceptable Use

You agree not to use the Platform to do any of the following:

• Violate any law, infringe anyone’s rights, or engage in fraudulent, deceptive, or harmful activity.
• Misrepresent your identity, your affiliation, an event, or how contributions will be used.
• Attempt to avoid, manipulate, or circumvent contributions, booking fees, payment processing, or security controls.
• Interfere with the Platform, scrape or harvest data, or introduce malicious code.
• Use the Platform to launder money, evade taxes, or move funds for any unlawful purpose.

We may remove content, cancel events, and suspend or close accounts that we reasonably believe violate these Terms or create risk for the Platform, its users, or nonprofits.

12. Intellectual Property

The Platform and its content, and the givnTable name and logo (trademark applications pending in International Classes 36 and 43), are owned by givnTable or its licensors. We grant you a limited, non-exclusive, revocable license to use the Platform for its intended purpose. You retain rights in the content you submit, and you grant givnTable a non-exclusive, royalty-free license to use that content as needed to operate, provide, and promote the Platform.

13. Third-Party Services

The Platform relies on third-party services, including Stripe for payment processing. Your use of Stripe is also governed by Stripe’s own terms and privacy policy. givnTable is not responsible for third-party services, their availability, or their acts or omissions.

14. Disclaimers

The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, givnTable disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Platform will be uninterrupted, secure, or error-free. givnTable is not responsible for the conduct of any host, guest, or nonprofit, for any event, or for how a nonprofit uses funds it receives.

15. Limitation of Liability

To the maximum extent permitted by law, givnTable will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of or relating to your use of the Platform. givnTable’s total liability for any claim arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the total booking fees you paid to givnTable in the 12 months before the claim, or (b) $100.

16. Indemnification

You agree to indemnify and hold harmless givnTable and its members, officers, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Platform, an event you host or attend, content you submit, or your breach of these Terms or violation of law.

17. Termination

You may stop using the Platform at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms or created risk for the Platform, its users, or nonprofits. Sections that by their nature should survive termination — including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

18. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide reasonable notice, such as by posting the updated Terms on the Platform with a new effective date or by notifying you. Your continued use of the Platform after an update takes effect means you accept the updated Terms.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules. The state and federal courts located in Hamilton County, Ohio have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, and you consent to that jurisdiction.

20. Privacy

Our Privacy Policy explains how we collect, use, and share information in connection with the Platform, and is incorporated into these Terms by reference. By using the Platform, you agree to the Privacy Policy.

21. General

21.1 Entire agreement

These Terms and the Privacy Policy are the entire agreement between you and givnTable regarding the Platform and supersede any prior understandings.

21.2 Severability

If any provision is held unenforceable, the rest of these Terms remain in effect.

21.3 No waiver

Our failure to enforce a provision is not a waiver of it.

21.4 Assignment

You may not assign these Terms without our consent. We may assign them to a successor in connection with a merger or sale of substantially all our assets.
